
Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Encore Systems LLC, a Minnesota limited liability company (“Encore Systems LLC,” “we,” “us,” or “our”). These Terms govern your access to and use of the ConcertHub mobile application, web application, and related services (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. The ConcertHub Service
ConcertHub is a platform operated by Encore Systems LLC that enables:

Bands to register and manage a live concert experience including sharing setlists; and

Fans to add songs performed at those concerts directly to their personal streaming libraries

Fans to connect with artists on off-platform 3rd party website or apps, such as social media or e-commerce platforms.
The Service integrates with third-party platforms such as Spotify and Apple Music to support music library functionality.
2. User Categories
The Service supports two categories of users:
a. Bands
Bands are artists, groups, or authorized representatives who register concerts and manage band-related content. Bands are required to create a ConcertHub account, and agree to the Terms of Service.
b. Fans
Fans are individuals who use the Service at shows to add songs to their streaming libraries, and further interact with bands through the Service. Fans are not required to create a ConcertHub account.
3. Eligibility
The Service is available to users of all ages. Certain features interact with third-party streaming services (such as Spotify or Apple Music), social media (Facebook, Instagram, etc) or e-Commerce platforms which may be subject to age restrictions or other requirements. Users are responsible for complying with all applicable third-party terms. If you are using the Service on behalf of an artist, band, or other entity, you represent that you have the authority to bind that entity to these Terms.
4. Band Representations, Rights, and License
If you use the Service as a band, you represent, warrant, and agree that:

Authenticity
You are the legitimate artist, band, or an authorized representative of the artist or band you claim to represent. Impersonation or misrepresentation is strictly prohibited.

Legitimate Live Performances
You will use the Service only in connection with real, bona fide live performances or events. You may not register fictitious, misleading, or unauthorized events.

Rights to Content
You own or otherwise have all necessary rights, permissions, and authorizations to use and display any content made available through the Service, including but not limited to:

Song titles and metadata

Album artwork
-
Artist or band names
-
Band photos, biographies, and promotional materials
Such rights are independent of, and not derived solely from the availability of content on third-party platforms such as Spotify.

License Grant to Encore Systems LLC
By using the Service, you grant Encore Systems LLC a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute your submitted content and related metadata (including album art sourced from third-party platforms) solely for the purpose of operating, promoting, and providing the Service to users. This license includes the right to publicly display content to fans within the Service and to cache or format such content as technically necessary to operate the Service.
This license is limited to in-app and Service-related use and does not authorize Encore Systems LLC to sell or commercially exploit your content outside the scope of the Service.

Responsibility and Indemnification
You are solely responsible for your content and its lawful use. You agree to indemnify, defend, and hold harmless Encore Systems LLC from any third-party claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your content or breach of these Terms.
5. Data Usage and Location Services
Encore Systems LLC collects only minimal data necessary to operate the Service. This includes:

Aggregate, anonymized usage data related to concerts and feature engagement

Aggregate counts of actions such as adding songs
Location services may be used in real time to suggest nearby concerts. Encore Systems LLC does not store or retain precise location data. Additional information regarding data practices is described in the ConcertHub Privacy Policy.
6. User Content and Platform Moderation
The Service operates as a platform for Bands to present information about their own live performances and associated materials. Bands are solely responsible for the accuracy, legality, and authorization of any content they submit. Encore Systems LLC does not proactively review all content but reserves the right to remove or restrict access to content that violates these Terms or applicable law.
7. External Links and Third-Party Destinations
The Service may include links to third-party websites or services, including social media platforms or ecommerce stores. These destinations are operated independently of Encore Systems LLC, and your interactions with them occur entirely outside the Service.
Encore Systems LLC is not responsible for third-party content, terms, or privacy practices.
8. Suspension and Termination
Fans may discontinue use of the Service at any time by deleting the app and unlinking third-party accounts. Because fans do not maintain user accounts with Encore Systems LLC, no account deletion process is required.
Encore Systems LLC reserves the right to suspend or terminate access to the Service for any user who violates these Terms or otherwise poses risk to the platform or its users.
9. Changes to the Terms
Encore Systems LLC may update these Terms from time to time. Changes will be effective upon posting with a revised effective date. Continued use of the Service after changes constitutes acceptance of the updated Terms.
10. Disclaimers
The Service is provided on an “as is” and “as available” basis. Encore Systems LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Concert listings, setlists, and user-submitted content are provided by third parties, and Encore Systems LLC does not guarantee their accuracy.
11. Limitation of Liability
To the maximum extent permitted by law, Encore Systems LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to the Service, even if advised of the possibility of such damages.
12. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of laws principles. Any legal action arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Minnesota.
